Terms & Conditions

1. Acceptance of Terms

By registering for or using OneStop Business Portal (“the Platform”), operated by Innovative X Pte Ltd, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform. These terms are governed by the laws of Singapore.

2. Eligibility

• You must be at least 18 years of age to use the Platform
• You must hold a valid Singapore mobile number for WhatsApp OTP verification
• Corporate entities must be registered in Singapore or have a registered business presence
• You may not register on behalf of another person without their explicit consent

3. User Accounts

• Each mobile number may be registered to one account only
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorised access to your account
• We reserve the right to suspend or terminate accounts that violate these terms

4. Listings & Content

By posting a listing on the Platform, you confirm that:

• All information provided is accurate, complete, and not misleading
• You have the legal right to sell, transfer, or advertise the business or service listed
• The listing does not violate any applicable Singapore laws or regulations
• The listing does not infringe any third-party intellectual property rights
• The listing does not contain illegal, fraudulent, or defamatory content

All listings are subject to moderation. We reserve the right to approve, reject, or remove any listing at our discretion without prior notice.

5. Coin System & Payments

• Coins are a non-transferable, non-refundable in-platform credit
• Coin purchases are final — no refunds once coins are credited to your account
• Coin costs for platform features (Bump, Boost, Spotlight, Banner Placement) are set by the platform administrator and may change with notice
• Welcome coins granted on registration have no monetary value and cannot be withdrawn
• All payment transactions are processed by HitPay. We do not store card details

6. Subscriptions

• Subscription fees are charged in Singapore Dollars (SGD) and are non-refundable
• Subscription tiers (Basic, Premium, Diamond) determine listing limits and platform features
• Subscriptions do not auto-renew — you must manually upgrade or renew
• Downgrading your subscription tier does not reduce your existing listing count but will apply the new tier’s limits to future listings

7. Listing Expiry

• Listings expire after 30 days by default (or as configured for your category)
• You will receive a WhatsApp reminder before your listing expires
• Expired listings can be re-activated using the Bump feature (coins required) or by re-submitting
• Expired listings are not visible to other users until re-activated

8. Prohibited Activities

You must not:

• Post fictitious, fraudulent, or misleading business listings
• Use the Platform to facilitate money laundering, scams, or any illegal activity
• Attempt to circumvent the Platform’s coin or subscription systems
• Scrape, crawl, or extract data from the Platform without written consent
• Post the same listing multiple times to gain unfair ranking advantages
• Impersonate another person, company, or brand
• Use automated bots or scripts to interact with the Platform

9. Enquiries & Transactions

The Platform facilitates introductions between buyers and sellers. We are not a party to any transaction between users. We do not verify the accuracy of any listing or the suitability of any business for sale. All due diligence, negotiations, and transactions are the sole responsibility of the parties involved. We strongly recommend engaging qualified legal and financial advisors before completing any business transaction.

10. Intellectual Property

All Platform content, design, code, and branding are the intellectual property of Innovative X Pte Ltd. You may not reproduce, redistribute, or create derivative works without written permission. By posting content on the Platform, you grant us a non-exclusive, royalty-free licence to display and promote that content on the Platform and associated marketing materials.

11. Limitation of Liability

To the fullest extent permitted by Singapore law, Innovative X Pte Ltd shall not be liable for any indirect, incidental, or consequential losses arising from your use of the Platform, including but not limited to loss of business, loss of profit, or failed transactions between users. Our total liability for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

12. Termination

We may suspend or terminate your account at any time for breach of these terms, with or without notice. You may request account deletion by contacting us — see Section 13. Upon termination, your access to the Platform will cease and any unused coins will be forfeited.

13. Governing Law & Disputes

These terms are governed by the laws of the Republic of Singapore. Any disputes shall first be attempted to be resolved amicably by contacting us at legal@onestopbizportal.com.sg. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the Singapore courts.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via WhatsApp or email with 7 days’ notice. Continued use of the Platform after changes take effect constitutes your acceptance of the updated terms.
